Six business-building practices that can help roofing contractors strengthen operations, increase enterprise value and prepare for an eventual exit.

For roofing contractors thinking about the future of their business, exit planning does not have to begin when they are ready to sell. On this episode of Roofing Road Trips®, Karen Edwards spoke with Gokul Padmanabhan of H.S. Exit Advisors about the "dig a moat, build a castle" framework and why owners should begin preparing long before an exit becomes urgent.

According to Gokul, readiness starts with the owner. Contractors should pay attention when their enthusiasm for running the business begins to fade because waiting too long can make an eventual sale more difficult. Reflecting on his own experience as a business owner, Gokul explained, "I think the sooner you come to that realization, the higher you can sell your business for when it's actually on top and the better outcomes you got for the next chapter in your life."

Preparation also means regularly understanding what the business is worth and whether it is positioned for sale. Rather than waiting for a life event to force the decision, owners can make exit readiness part of their ongoing planning. Gokul advised, "Just like you go get a physical or you get a blood test every year, you have to value the company every year. You have to make sure how ready it is as part of your planning."

Drawing from more than 600 transactions completed by his firm, Gokul identified six behaviors common among top-performing companies: embracing an owner's mindset, mastering financials, focusing on customers, maintaining a profit-first perspective, developing engaged and satisfied employees and creating a bold vision and mission.

The owner's mindset is especially important. Rather than focusing only on scheduling jobs, ordering materials and solving daily problems, contractors can step back and consider the company as an asset that should become more valuable over time. Gokul encouraged owners to begin with a simple exercise, saying, "Take one hour on a Friday, take a long lunch and really just sit down and look at where you want the business to be three years from today, where you want it to be two years from today, where you are now and what are some of the big things that are going to take you from where you are to where you want to be."

Whether an exit is approaching or still years away, these practices can help contractors create stronger businesses, make more informed decisions and build greater flexibility for the future.

Peer insight, benchmarking and disciplined preparation can help contractors strengthen operations and position their businesses for a future transaction.

Preparing a restoration business for sale involves more than organizing financial statements. HS Exit Advisors emphasizes that contractors also need to consider how positioning, operational discipline and timing can affect the strength of the business when they are ready to pursue a transaction.

Les Cunningham, founder of Business Networks Inc., has spent more than 55 years helping contractors build profitable, accountable businesses. He points to mastermind groups as one of the ways contractors can gain candid insight from trusted peers without bringing local competitors into the conversation. Describing the need for that kind of environment, Les explained, “A lot of contractors want to be able to talk to somebody and they can't because they don't trust that the other people are going to tell them the truth. So we've invented a process where we have a meeting in a total trusting relationship and allow people to talk about what they do, but we don't allow geographic competitors in the room.”

Within those groups, members can compare financial performance, observe one another’s operations and identify areas for improvement. Business Networks uses a 14-category benchmarking framework that allows restoration contractors to examine performance line by line, including estimating accuracy, gross margins, project management efficiency, labor utilization, overhead control, marketing return on investment and customer retention. Emphasizing the value of seeing how other contractors operate, Les noted, “Talking to other contractors in the business, they find out information they wouldn't get any other way. They can trust, but they also verify what they've been told and really know what's going on in the company.”

That level of scrutiny can help contractors make substantive operational improvements before they enter the market. Preparation also extends to the sale process itself, where engaging multiple qualified buyers, establishing clear deadlines and using professional representation can create a more structured approach than negotiating with a single interested party.

Even as contractors evaluate financial performance, systems and potential buyers, Les stressed that the fundamentals of running a strong business remain consistent. Reflecting on those enduring priorities, he said, “Some basic principles of business never change. You've got to make a profit. You've got to treat your employees well. Those things, they don't change.”

For contractors considering a future sale, strengthening day-to-day operations, learning from trusted peers and understanding business performance can create a stronger foundation long before a transaction begins.

Learn how restoration contractors can strengthen enterprise value ahead of a future transition.

For restoration contractors, exit planning is often framed as a future decision tied to timing, market conditions or personal goals. In practice, however, the strength of that exit is determined long before any transaction begins, shaped by how the business performs day to day and how clearly its value can be measured. That shift in perspective is a primary topic in “Power Moves for Precision Exits: Preparing Your Business for the Next Chapter,” a session at the ACCESS National Conference scheduled for May 19, 2026, from 10:45 to 11:30 a.m. Led by Gokul Padmanabhan, founder and business broker of Restoration Brokers of America and HS Exit Advisors, the session will focus on how contractors can evaluate their companies with intention rather than waiting for urgency to force the conversation.

The session moves exit planning out of the abstract and into operations. Gokul will outline the metrics that determine enterprise value, providing a framework contractors can use to understand how prepared their businesses are for the market and where gaps may exist. Measurable performance, operational efficiency benchmarks and revenue-per-employee analysis offer a direct view into how effectively a company converts effort into output. In turn, those indicators help contractors identify whether growth is supported by repeatable systems or limited by inefficiencies, inconsistent processes or misaligned resources.

From there, the conversation extends into strategy. By linking performance metrics to long-term outcomes, the session shows how incremental improvements can compound into meaningful gains in enterprise value. For business owners, that connection represents the idea that exit readiness is not a one-time effort but a continuous process of refinement.

As the restoration industry continues to evolve, that level of clarity is becoming increasingly important. Contractors are operating in an environment where performance, scalability and consistency carry greater weight, making it essential to understand not only what a business generates, but how it operates. Preparing for the next chapter, in that context, begins with building a company that is ready for it long before the moment arrives.

How early planning and strategic preparation can significantly increase business value when it’s time to sell.

For roofing contractors, the strength of an exit often depends on the level of preparation done before a sale is even on the table. Many owners spend decades focused on production, customer service and growth. Far fewer spend that same time preparing their companies for a future buyer. According to Gokul Padmanabhan of HS Exit Advisors, that delay can directly affect valuation. Sitting down at The Coffee Shops™ sound stage during the International Roofing Expo (IRE), Gokul addressed the issues of this common pattern often seen among contractors nearing retirement. Owners may feel personally ready to step away, but their companies are not structured to attract buyers.

“A lot of times the owner is ready, but the business is not ready,” he said. “80% of the time your business will not be ready while you’re ready because the technology and the strategy of operating a company is very different than getting your business buyer ready so you can maximize your outcomes.” That difference between operating a company and preparing it for sale is where value can either be gained or lost depending on the level of preparations made. Day-to-day operations focus on managing crews, closing jobs and serving customers. Exit preparation focuses on systems, strategy and reducing reliance on the owner.

HS Exit Advisors, a boutique brand under its parent company American Business Exits, works with lower-middle market roofers to close that gap. While some businesses can be ready in about a year, most require 18 months to two years of preparation before going to market. The results, Gokul said, are measurable. “When you take time to prepare your company and realize that the strategy to prepare your company is different than the strategy to operate it,” he said, “we see almost a 22% increase in your sales price.”

Exit planning should begin years before retirement. By preparing early and thinking strategically, owners can protect the value they have built and position their companies for a stronger financial outcome when it is time to sell.
